These terms govern your use of Baleads (the "Service"), a transport lead marketplace operated by Broadway Affiliated, trading as Baleads ("we", "us"). By creating an account or continuing to use the Service you agree to these terms and are contracting with Broadway Affiliated.

1. The Service

Customers post transport requests for free. An operator with an active monthly plan may view an anonymised request containing only the transport type, pickup and drop-off points, city and country, then submit a detailed quotation to Baleads. We present that quotation to the customer without revealing either party's identity or contact details. If the customer accepts, the operator must purchase the accepted lead before Baleads releases the customer's details. Baleads does not provide transport, and customers and operators settle the transport job directly.

2. Accounts

You must be of legal age and, if you act for a business, have authority to bind it. Keep your login details confidential; you are responsible for activity under your account. Provide accurate information and keep it up to date. Operator verification badges are granted at our discretion after reviewing the documents you submit.

3. Acceptable use

You must not misuse the Service, including by:

• using it for any unlawful purpose or in breach of transport, permit or safety regulations;
• posting fraudulent, misleading or spam requests or quotes;
• infringing anyone's intellectual property or privacy, or reselling lead contact details;
• interfering with security, uploading malware, probing, scraping or circumventing plan limits;
• reverse engineering the Service, or reselling or redistributing it or the data it shows you.

4. Plans and payments

Operator plans are billed monthly in advance and renew automatically until cancelled. Each plan includes a monthly allowance of accepted leads; unused allowances do not roll over. Plan changes take effect immediately and are prorated. If you cancel, you keep access until the end of the paid period. When a customer accepts an operator's quotation, that operator pays Baleads a lead fee equal to 5% of the accepted total quotation. Customer details are released only after that payment is confirmed.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. 5. Intellectual property

Broadway Affiliated owns the Service and all related software, content, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your plan. You keep ownership of content you submit and grant us a licence to host and process it solely to provide the Service.

6. Service level and liability

We do not guarantee that the Service will be uninterrupted or error-free, or that any request will result in a job. We are not a party to agreements between customers and operators and are not responsible for the transport services provided. To the fullest extent permitted by law, we disclaim implied warranties, exclude liability for indirect or consequential loss, and cap our total liability at the fees you paid us in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law does not allow it.

7. Suspension and termination

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may close your account at any time. Export anything you want to keep first; we then delete or anonymise your account data within 30 days, except records we must keep by law.

8. Your indemnity

If a claim arises from content you post, unlawful use, or your breach of these terms, you will cover Broadway Affiliated's reasonable costs and losses from that claim.

9. Global use

Baleads is available worldwide. You are responsible for complying with the transport, licensing, customs, tax and trade laws that apply where you operate, including for cross-border work. Prices are set in US dollars and may be shown in your local currency for convenience; the amount charged at checkout, including any local taxes, is final. We may restrict access in countries subject to sanctions.

10. Your local rights

If you are a consumer, you keep any mandatory rights given by the laws of the country where you live. Nothing in these terms removes them.

11. General

These terms are governed by the laws of South Africa, where Broadway Affiliated is registered, and the courts of South Africa have jurisdiction over disputes, without affecting mandatory consumer protections in your country. Neither side may assign this agreement without the other's written consent, except that we may assign it in a merger or sale. Neither side is liable for a failure caused by events beyond its reasonable control. We may update these terms and will show the date of the latest change above.
